ScanWRX software license agreement
This covers the desktop application itself. Your subscription is governed separately by the terms of service.
1. What you are granted
CompanyWRX, LLC grants you a personal, non-exclusive, non-transferable, revocable license to install and use ScanWRX on computers you control, for as long as you comply with this agreement.
ScanWRX Free may be used indefinitely, including commercially, at no cost and with no account. ScanWRX Pro additionally requires an active subscription and is limited to 3 activated computers at a time.
2. Authorization — the important one
ScanWRX sends packets to devices on a network and records what answers. That is what a network scanner is. Done on a network you are responsible for it is routine professional work. Done on a network you are not, it may be a criminal offence.
You may only use ScanWRX on a network that you own, or that you have permission from its owner to scan. You are responsible for holding that permission. We provide the tool; the authorization is yours to obtain and yours to be able to demonstrate.
Depending on where you are, unauthorized scanning may engage the Computer Fraud and Abuse Act, the Computer Misuse Act, or their equivalents. If you are working under a contract, the scope of that contract is usually the scope of your authorization. If you are not sure whether you are authorized, you are not authorized.
3. What you may not do
- Reverse engineer, decompile or disassemble ScanWRX, except where the law expressly permits it despite this clause.
- Modify or patch the application, including to alter what your license entitles you to.
- Forge, tamper with, or attempt to produce an entitlement token.
- Rent, lease, sublicense, resell or distribute ScanWRX without a written agreement with us.
- Remove or obscure any copyright or ownership notice.
- Share an activation with anybody else.
4. Ownership
ScanWRX is licensed, not sold. CompanyWRX, LLC retains all rights in the software, including its source, its device-identification rules and its documentation.
Everything you produce with it is yours. Your scan data, your notes and every report and export you generate belong to you. We claim no rights in them, we never receive them, and nothing in this license gives us any interest in them.
5. Your data stays yours — permanently
If your subscription ends, ScanWRX returns to the free tier. It does not delete your scan history, it does not lock your saved records, and it does not render anything you have already exported unreadable.
We will never hold your own data hostage to get you to renew. Pro features stop; the data those features produced does not go anywhere. Everything you exported before is a file on your disk that has nothing to do with us.
6. ScanWRX Team, and your customers’ data
Sections 4 and 5 describe Free and Pro, where everything you produce stays on your own computer. ScanWRX Team works differently, and you should read this before switching it on.
Team syncs the records your team chooses to share — customers, sites, networks and the scans attached to them — to storage operated by CompanyWRX, LLC, so that every member sees one record. It is opt-in: nothing is uploaded until a team exists and you have joined it.
The data remains yours. We store and serve it back to your team and do nothing else with it. We do not read it, analyze it, sell it, or use it to train anything. You can delete any record at any time, and you may ask us to remove all of it within 90 days of asking.
You are responsible for having the right to share it. The networks you document usually belong to your clients, and your agreements with them may restrict where that information may be stored. Team puts it on our servers in the United States. Satisfying yourself that this is permitted is your job, not ours — we have no visibility of your contracts.
Each member keeps a local copy throughout. If the subscription ends, sync stops and the shared copy is retained but no longer reachable from the application; the copies on your own machines are unaffected. We will not hold your data hostage to a renewal.
7. Updates
ScanWRX can check for updates over an outbound HTTPS request and tell you when one is available. It does not install anything without you choosing to. Update manifests are cryptographically signed and every download is verified against a published SHA-256 before it runs — so an update that has been tampered with in transit is rejected rather than executed.
You can switch update checking off. Nothing else changes if you do.
8. Third-party components
ScanWRX includes open-source components under their own licenses, listed in full inside the application under Settings, and in the DEPENDENCIES.md file that ships with it. Those licenses govern those components. Nothing here restricts a right you have under any of them.
ScanWRX uses the Microsoft Edge WebView2 runtime, which is governed by its own Microsoft license terms.
9. No warranty
To the fullest extent the law allows, ScanWRX is provided “as is”, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
Specifically, and stated plainly rather than buried: we do not warrant that ScanWRX will discover every device on a network, or that its identifications are correct. ScanWRX is an instrument to inform your professional judgement, not a replacement for it. The confidence labels and evidence trails exist precisely so you can exercise that judgement — use them.
10. Limitation of liability
To the extent the law allows, CompanyWRX, LLC’s total liability arising out of this license is limited to the greater of what you paid for ScanWRX in the 12 months preceding the claim, or $100. We are not liable for indirect, incidental, special or consequential damages, or for lost profits, lost data or business interruption.
Nothing limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.
11. Termination
This license ends if you materially breach it. On termination you must stop using ScanWRX and uninstall it. Sections 4, 5, 6, 9, 10 and 12 survive.
You can terminate at any time by uninstalling. Your own data remains yours and remains on your machine unless you delete it.
12. Governing law
This license is governed by the laws of the State of New Mexico, without regard to its conflict-of-laws rules. The dispute resolution and arbitration provisions in our terms of service apply to this agreement as well, including your right to opt out of arbitration within 30 days.
